You acknowledge that Lakewood Chamber of Commerce may compile aggregate data related to your use of the mylakewoodchamber.com service and the web site and that we may use, reproduce and make commercially available to third parties such aggregate data. Such aggregate data shall be the property of Lakewood Chamber of Commerce. and can be used without notice to, or approval by, you. Lakewood Chamber of Commerce logo , mylakewoodchamber.com, are trademarks of Lakewood Chamber of Commerce in the United States and other countries and may not be used in connection with any product or service that is not Lakewood Chamber of Commerce 's, in any manner that is likely to cause confusion to our members and or customers, or in any manner that disparages or discredits Lakewood Chamber of Commerce. All other trademarks not owned by Lakewood Chamber of Commerce or its affiliates that are used on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Lakewood Chamber of Commerce or its affiliates. Lakewood Chamber of Commerce reserves the right to change or discontinue the web site at any time in its sole discretion.

WITHOUT LIMITATION, WE DO NOT WARRANT THAT THE WEB SITE WILL OPERATE WITHOUT INTERRUPTIONS OR BE TIMELY, SECURE, OR ERROR-FREE. WE AND OUR SUPPLIERS SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN NO EVENT SHALL WE OR OUR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES HOWEVER ARISING, (INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE, INTERRUPTION, SUSPENSION OR TERMINATION OF THE WEB SITE OR THE SERVICES AND PRODUCTS PROVIDED IN CONNECTION THEREWITH OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND/OR SERVICES OR RESULTING FROM UNAUTHORIZED ACCESS TO, OR ALTERATION OF, YOUR TRANSMISSIONS OR DATA OR ARISING FROM ANY OTHER MATTER RELATING TO THE WEB SITE OR THE SERVICES AND PRODUCTS PROVIDED IN CONNECTION THEREWITH, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS, USE, DATA, OR OTHER DAMAGES, EVEN IF Lakewood Chamber of Commerce HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY PRODUCT, SERVICE INTERRUPTION, SUSPENSION OR TERMINATION WAS JUSTIFIED, NEGLIGENT OR INTENTIONAL.
The user shall indemnify and hold harmless Lakewood Chamber of Commerce, and its owners, SPONSORS, VENDORS and AFFILIATES, from and against any claims, liabilities, losses, costs, damages or expenses (including attorney's fees) arising from USE OF ALL PRODUCTS AND SERVICES AS WELL AS the user's application of or participation in this service or the information made available thereby.

YOU AGREE THAT Lakewood Chamber of Commerce WILL NOT BE RESPONSIBLE OR LIABLE TO YOU OR ANYONE ELSE FOR THE STATEMENTS SERVICES PRODUCTS OR CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE WEB SITE OR THE SERVICES AND PRODUCTS PROVIDED IN CONNECTION THEREWITH.

Indemnification. In addition to other indemnification obligations hereunder, you also agree to indemnify, defend and hold us harmless from and against any and all claims, demands, actions, costs, liabilities and losses (including attorneys' fees and other legal expenses) arising from (i) your use of the web site, (ii) your decision to request information, (iii) your decision to place orders, make bids or purchase goods and/or services, and (iv) quality of goods from suppliers from whom you ordered, requested quotations from, or purchased goods and/or services through the web site. We reserve the right to report any wrongdoing to the applicable government agencies or otherwise.

Publicity. You will not issue any press release or any other public statement regarding the subject matter herein without the prior written consent of Lakewood Chamber of Commerce. Your failure to obtain the written consent of Lakewood Chamber of Commerce. prior to issuing a press release or any other public statement shall be deemed a material breach of this Agreement. You acknowledge that Lakewood Chamber of Commerce. may seek, without waiving any other rights or remedies, such injunctive or equitable relief as may be deemed proper by a court of competent jurisdiction.

General Compliance with Laws. You shall comply with all applicable laws regarding your use of the web site and your offering to purchase, and sale of goods and/or services, including, without limitation, the laws of jurisdictions of each of the buyer and seller. You shall abide by all such laws, including, without limitation, those governing export control, consumer protection, unfair competition, antidiscrimination, false advertising, U.S. or international embargo or United Nations resolution with respect to any embargo.

No Agency. You and your agents, on the one hand, and we, on the other hand, are independent contractors, and no agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or created by this Agreement.

Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the web site's services or this Agreement must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

Notices. Except as explicitly stated otherwise in this Agreement, any notices by you shall be given by e-mail here or the e-mail address which you provide to Lakewood Chamber of Commerce during the purchase process, or such other electronic processes or address as either party shall specify by such notice. >Notice shall be deemed given twenty-four (24) hours after any e-mail is sent, unless the sending party is notified that the recipient's e-mail address is invalid. Alternatively, at our option, we may give you notice by commercial courier service or by certified mail, postage prepaid and return receipt requested, to the address provided to Lakewood Chamber of Commerce during the purchase or any other electronic process. I hereby request that I be provided e-mail notice of any change to this Agreement.

Miscellaneous. This Agreement shall be governed in all respects by the laws of the State of New Jersey, United States of America, as such laws are applied to agreements entered and to be performed entirely within New Jersey between New Jersey residents. We and you submit to jurisdiction in New Jersey and further agree that any cause of action arising under this Agreement shall be brought exclusively in a court in New Jersey. The parties agree that the provisions of the 1980 United Nations Convention on Contracts for the International Sale of Goods shall not apply to any goods and/or services sold as a result of services or goods provided by the web site. If any provision of this Agreement is held to be invalid or unenforceable such provision shall be deemed severed from this Agreement and shall not affect the validity or enforceability of the remaining provisions. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Any failure by Lakewood Chamber of Commerce to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding between us with respect to the subject matter hereof.

Security Disclaimer. While Lakewood Chamber of Commerce strives to protect its users' personal information and privacy, we cannot guarantee the security of any information you disclose online, and you do so at your own risk. You acknowledge that you are aware of security and privacy limitations, including, but not limited to: (1) the limitation of security, privacy and authentication measures and features in this system; and (2) that data or information on the web site may be subject to eavesdropping, sniffing, spoofing, forgery, spamming, "impostering", tampering, breaking passwords, harassment, fraud, electronic trespassing, hacking, nuking, system contamination (including, without limitation, viruses, worms and Trojan horses) causing unauthorized, damaging or harmful access and/or retrieval of information and data on your computer, may be subject to other security or privacy hazards or may not reach its destination or may reach an erroneous address or recipient.

European Union Information. Users in the European Union fully understand and unambiguously consent to the collection and processing of their personal information in the United States.

Legally Compelled Disclosure. Lakewood Chamber of Commerce shall, pursuant to valid legal process such as a search warrant, subpoena, or court order, allow access to all available and relevant information in order to comply with such process and protect Lakewood Chamber of Commerce rights and property. If warranted, Lakewood Chamber of Commerce may also allow access to this information in special emergencies where physical safety is at risk. Users' IP addresses may also be traced by Lakewood Chamber of Commerce and disclosed for these purposes.

Lakewood Chamber of Commerce provides users the opportunity to opt out of receiving various communications, including newsletters, periodic marketing and promotional notices, and introductions to value added services offered either on the web site or by our business partners. Lakewood Chamber of Commerce also gives users the opportunity to change registration and demographic information previously provided.
